Unlike a generative AI search engines where you pose a question, our semantic AI filter helps with keyword searching with identifying concepts rather than synonyms -- more in a human fashion distinguishing context that may exist within a term.

Text Search

Agreement ID

The Agreement ID (or AID) filter is a unique ID code on every document to quickly access to individual documents in the ktMINE Royalty Rate database. Multiple agreements can be entered by separating each ID by a comma, or entering line by line as shown below.

Please note: Searching for an Agreement ID that does not disclose a royalty rate within the agreement will not produce a result for the Agreement ID requested.

Agreement Title


A text filter allowing users to search exclusively through the title section of an agreement.

Full-Text


The Full-Text filter allows a user to search for the existence of a specified keyword within the full-text of each license agreement. This filter is best applied when looking for an exact clause, phrase, or terminology which must exist in the text. Because this filter searches to match words, the keyword used does not need to relate to the transaction to populate a result. If the intention is to search a term that directly relates to the transaction, please see Document Summary Field. Full-Text can also be useful where search results are too small or when researching something specific.

Document Summary Fields


The document summary field allows users to search across all of the various summary fields generated in the synopsis of an agreement. This covers, grant section, parties, industry, agreement type, term, and royalties. The benefit of this filter is every document in the database has been reviewed and assigned related language keywords by a human to better match documents in a search inquiry. Please note, not all words entered as a keyword will present themselves in the synopsis. If the intention is to search an exact match of a keyword or phrase, please see Full-Text. The filter allows to enter up to fifty (50) words in one search line. If the limit is reached, add additional words on their own search line. A separate line will be needed, however, when changing operators. 

Search Within Summary Fields:

    All summary fields (Default) – Search across all of the various summary fields generated in the synopsis of an agreement. This covers the grant section, parties, industry, agreement type, term, and royalties.

    Indication - The intended field of use for the Intellectual Property being granted in the transaction.

    PaymentSelect to search modifier language to specifically perform a keyword search through the royalty bases provided in the synopses of the agreement. Best when search is for researching tiered, varying, levels, units sold, etc. through royalty bases.

    Synopsis – Search for keywords within the granted section of the synopsis so you can exclusively search through the analyst derived summary of what is be granted in that particular agreement. Beneficial when you have an agreement with overused keywords such as: termination agreements, end user agreements, etc.

    Term – Allows keyword search on the specific terms present with the agreements such as length of contract and other conditions that may impact the length or termination of an agreement.


Search Tips:

    Single Word Search - Example: PAINT
-“PAINT” = will match exact word only, as a standalone (PAINT with no letters before or after it)

    Multi-word Search - Example: WIRELESS TRANSMITTER
-This works as an AND in Boolean logic
-For this example, ktMINE will search for any agreements with WIRELESS as a standalone or within a word and then will
do the same for TRANSMITTER.
-The results will show the intersection of agreements that contain both WIRELESS and TRANSMITTER in same data field. 

    Wildcard - Example: trade*
-ktMINE looks for any field that starts with TRADE and anything else from there (e.g., TRADEMARK, TRADEMARKS,
TRADENAME, TRADENAMES, etc.) 

    Wildcard - Example: *mark

Type

Exclusivity


The Exclusivity filter allows a user to search for license agreements with a specified exclusivity. Exclusivity denotes the
rights the licensee holds to exploit the licensed IP within a certain territory(ies).

To begin, click on Exclusivity and check either Exclusive, Non Exclusive, Multi Exclusive, Unknown or a combination. To remove an exclusivity, uncheck the box next to the name. Once the desired exclusivity(ies) are selected, click Apply.

How was exclusivity assigned?
ktMINE reviews agreement data to look for the terms exclusive and non-exclusive. If neither appears, then the
agreement is assigned as non-exclusive. If one or more instances of a single value appears, then only that value
is assigned to the agreement. 

Exclusive - Company has only right to utilize or exploit the intellectual property or services granted under
the license.

Multi-Exclusivity - If at least one instance of each value, then the agreement is assigned as multi-exclusive.

N/A - Exclusivity not explicitly provided in agreement.

Non-exclusive - Company has the right to utilize or exploit the intellectual property or services granted
under the license, but other companies may also share these rights.

How should I setup my search to capture all exclusive agreements?
If you are looking to find agreements that are exclusive, then choose both exclusive and multi-exclusivity options when setting
up your search conditions. Agreements that are labeled as multi-exclusive contain at least one royalty rate that is
exclusive (as well as at least one royalty rate that is non-exclusive).

Transaction Type
This allows users to filter by agreements that are based on a specific transaction type.

Asset Purchase - An asset purchase agreement is a definitive agreement that finalizes all terms and conditions related to the purchase and sale of a company's assets. Typically this would include fixed assets as well as intangible assets of either an entire business or entire business unit where ownership has been changed to the other party. 

Assignment - The transfer of an individual's rights or property to another person or business.

Buying Agent - An agent who purchases goods on behalf of foreign buyers. The buying agent represents and buy a specific kind of products within a specific territory, which can be a country or multiple countries.

Clinical Trial - Manages the relationship between the sponsor that may be providing the study drug or device, the financial support and /or proprietary information and the institution that may be providing data and/or results, publication, input into further intellectual property.

Collaboration - Agreement between at least 2 parties looking to work together on a commercial project on a collaborative or cooperative basis.

Commercialization - The process of bringing new products or services to market. The broader act of commercialization entails production, distribution, marketing, sales, customer support, and other key functions critical to achieving the commercial success of the new product or service.

Construction - Means all aspects of: constructing, fabricating, installing, erecting, maintaining, performing integrity digs on, and performing turnaround services on, pipelines, buildings, plants, and facilities of all types.

Cooperation - Records the intentions, goals and conditions belonging to the cooperation.

Co-Promotion - Allows two or more companies to combine their sales force in order to promote a product under the same brand name and price with a single marketing strategy.

Development - Contract between two parties establishing an agreement over development of a product or service.

Distribution - Legally binding agreement between an entity that supplies goods and one that distributes goods. The supplier in this case can be either a manufacturer or another distributor that is reselling another supplier's goods.

Engineering - Legal agreements between a business and an engineering company detailing services promised, and payment for those services.

Framework - An agreement between two parties that recognizes that the parties have not come to a final agreement on all matters relevant to the relationship between them, but have come to agreement on enough matters to move forward with the relationship, with further details to be agreed to in the future.

Franchise - A contract that details the franchisor's expectations from the franchisee, how the business must be operated and what fees are due in order to operate a franchise.

IP Purchase - The purchasing of IP assets, the agreement should specify it as an IP Purchase compared to other forms of Asset Purchase/Sale documents. Typically drafted by the buy side.

IP Sale - The sale of IP Assets, the agreement should specify it as an IP Sale compared to other forms of Asset Purchase/Sale documents. Typically drafted by the sell side.

Joint Development - Contract between two parties establishing an agreement over development of a product or service.

Joint Venture - Two or more parties agree to pool their resources for the purpose of accomplishing a specific task. This task can be a new project or any other business activity.

License - Contract between two parties, known as the licensor and the licensee. In a typical licensing agreement, the licensor grants the licensee the right to produce and sell goods, apply a brand name or trademark, or use patented technology owned by the licensor.

Manufacturing - Two parties, a Supplier and a Buyer. The Supplier can be an individual or business and is the party that "supplies," or manufactures, the goods to the Buyer. The Buyer is the party that orders the goods. The goods in a Manufacturing Agreement are not like those carried in a store, they are made for just for Buyer and Buyer's specifications. The Buyer can also be an individual or a business.

Master Franchise - A franchising contract in which the master franchisor (the owner of the brand name) hands over the control of the franchising activities in a specified territory to a person or entity, called the "master franchisee". 

Merger - Legal contract governing the combination of two companies into a single business entity.

Partnership - Contract between partners in a partnership which sets out the terms and conditions of the relationship between the partners, including: Percentages of ownership and distribution of profits and losses. Description of management powers and duties of each partner.

Pharmaocovigilance - A written agreement between the marketing authorisation holder (MAH) and a third party (to which the MAH has shared or activities regarding or impacting pharmacovigilance), which outlines the responsibilities of each party with regards to pharmacovigilance.

Product - Any agreement, statement or disclosure you accept and agree to in order to have and maintain a Product.

Purchasing - Contract that outlines terms and conditions related to the sale of goods. As a legally binding contract between buyer and seller, the agreements typically relate to buying and selling goods rather than services. They cover transactions for nearly any type of product.

Reseller - Where a vendor contracts with a reseller to allow them to sell the vendor's product or services to a third-party.

Research and Development - Includes activities that companies undertake to innovate and introduce new products and services.

Royalty - Also known as a "Royalty Stream" agreement is a transaction where an existing revenue stream derived from a royalty rate is being licensed.

Sales - A contract that clarifies the terms of a transaction. Also known as a sales contract or an agreement to sell.

Sales Agent - Defines what the terms are when a sales agent acts as an independent contractor for a company. They will promote the company's services or products in exchange for the commission on each sale that comes through.

Services - A contract that involves the providing of general services to another.

Settlement - Type of legal contract that helps to resolve disputes among parties by coming to a mutual agreement on the terms.

Software - An agreement licensing the use of source code or software.

Strategic Alliance - An arrangement between two companies to undertake a mutually beneficial project while each retains its independence. The agreement is less complex and less binding than a joint venture, in which two businesses pool resources to create a separate business entity.

Supply - The sale of goods from one party, the supplier, to another, the purchaser.

Transition Services - An agreement between a buyer and seller whereby the seller contracts with the buyer its services and know-how for a specified period of time in order to support and to allow the buyer acclimate to its newly acquired assets, infrastructure, systems, etc.

IP Type

This allows users to filter by agreements that contain a specific type of Intellectual Property disclosed.

Brand - A brand is an identifying symbol, mark, logo, name, word, and/or sentence that companies use to distinguish their product from others.

Content - News articles, images, data, survey information or other information related to the company or person that is not necessarily copyrighted. E.G. Content for a website or a piece of software.

Copyright - Copyright refers to the legal right of the owner of intellectual property. In simpler terms, copyright is the right to copy.

Customer List - Customer List means all lists, spreadsheets, worksheets and tables of any type or form identifying each and every client.

Domain Name - A domain name is the website name.

Intellectual Property - Intellectual property is a broad categorical description for the set of intangible assets owned and legally protected by a company from outside use or implementation without consent. An intangible asset is a non-physical asset that a company owns.

Know-How - Know-how means any form of technical information or assistance relating to the manufacture or placing into operation of the said products. It also means any practical knowledge, techniques, and skill that are required to achieve some practical end.

Likeness - Likeness is the right of an individual to control the commercial use of one's identity, such as name, image, likeness, or other unequivocal identifiers.

Logo - A logo is a graphic mark, emblem, symbol or stylized name used to identify a company, organization, product, or brand. It may take the form of an abstract or figurative design, or it may present as a stylized version of the company’s name if it has sufficient brand recognition.

Patent - A patent is the granting of a property right by a sovereign authority to an inventor. This grant provides the inventor exclusive rights to the patented process, design, or invention for a designated period in exchange for a comprehensive disclosure of the invention.

Process - When a specific process or operation is being granted within a transaction

Proprietary Information - Proprietary information, also known as a trade secret, is information a company wishes to keep confidential. Proprietary information can include secret formulas, processes, and methods used in production.

Service Mark - A service mark is a brand name or logo that identifies the provider of a service. A service mark may consist of a word, phrase, symbol, design, or some combination of these elements. 

Slogan - A catch phrase or small group of words that are combined in a special way to identify a product or company.

Software - Software comprises the entire set of programs, procedures, and routines associated with the operation of a computer system.

Symbol - A mark or character used as a conventional representation of an object, function, or process

Technology - A Intellectual Property referring specifically to a Technology being granted

Trade Dress - Characteristics of the visual appearance of a product or its packaging (or even the design of a building) that signify the source of the product to consumers.

Trademark - The term trademark refers to a recognizable insignia, phrase, word, or symbol that denotes a specific product and legally differentiates it from all other products of its kind.

Tradename - A trade name is the official name under which an individual as a sole proprietor or a company chooses to do business. A trade name is commonly known as a doing business as (DBA) name. 

Trade Secret - Any practice or process of a company that is generally not known outside of the company. Information considered a trade secret gives the company an economic advantage over its competitors and is often a product of internal research and development.

Works of Authorship - An expression fixed in a tangible medium of expression regardless of the need for a machine to make the expression manifest, and includes but is not limited to, writings, reports, drawings, sculptures, illustrations, video recordings, audio recordings, computer programs, and charts.

Service Type

This allows users to filter by agreements that contain a specific service being provided.

Accounting - Agreement involving: financial development, bookkeeping, and business expenses; professional advice to small starting businesses on the right investment and best structure for their business to ensure financial stability

Admin - Services pertaining to personnel, payroll, property management, benefits, human resource management, financial planning, case docketing and management, contract and subcontract management, facilities management, proposal activities and other similar services

Brokerage Services - Services that either involve the negotiation of contracts for, and the execution of, the purchase and sale of securities or otherwise relate to the securities brokerage business.

Buying Agent - An agent who purchases goods on behalf of foreign buyers. The buying agent represents and buys a specific kind of products within a specific territory, which can be a country or multiple countries.

Construction - All aspects of: constructing, fabricating, installing, erecting, maintaining, performing integrity digs on, and performing turnaround services on, pipelines, buildings, plants, and facilities of all types.

EHS Management - General term used to refer to laws, rules, regulations, professions, programs, and workplace efforts to protect the health and safety of employees and the public as well as the environment from hazards associated with the workplace.

Finance - Forecasting, budgeting, cash flow management, payroll, or other functions associated with CFO activities.

Financial Transaction Services - Credit and loan services.

General - Catch-all for agreements that do not fit into any other category. 

Human Resources - Providing staffing support that includes creating job announcements, determining eligibility, evaluating qualifications of candidates, conducting background checks on final candidates, verifying references, developing performance evaluation procedures and forms, and conducting exit interviews for departed employees.

IT Services - The design, development, application, implementation, support, and management of computer-based information systems

Legal Services - General legal services performed on behalf of the taxpayer by in-house legal counsel, including but not limited to, drafting, negotiating and review of contracts or agreements, legal documents, and opinions, representation and advocacy before courts, administrative agencies, arbitrators, legislatures, or other bodies, preparing advice in respect of structuring and reorganization, acquisition, and divestment transactions, and maintaining corporate books and records. Support and administrative functions associated with the above activities (legal research, secretarial, filing and document retrieval, etc.).

Management Services - Services related to the management of a business or personnel. 

Marketing Planning and executing a public relations program or corporate communication policy, including the distribution of internal and external corporate communications, but not to include specific advertising and/or marketing of a product or service.

Mining - Includes underground and surface drilling, blasting, mineral assaying (geochemical and precious metals analysis), sample preparation, underground mining, exploration drilling, loading and hauling services, handheld mining, and shotcrete/fibrecrete services.

Purchasing - A service on behalf of a person or an organization used to acquire goods or services to accomplish its goals.

Sales - A contract that clarifies the terms of a transaction. Also known as a sales contract or an agreement to sell.

Transition Services - An agreement between a buyer and seller whereby the seller contracts with the buyer its services and know-how for a specified period of time in order to support and to allow the buyer to acclimate to its newly acquired assets, infrastructure, systems, etc

Industry


SIC Code

The Standard Industrial Classification or SIC Code is a standardized form of classification for industrial categories. The filing company that submits an agreement to the SEC (Securities and Exchange Commission) which assigns their own SIC code based upon their industry.

For an agreement to be assigned an SIC code, a company must file their claim under their core business classification to be categorized under their SIC code. Please note a company's core business is not always related as the intended use of the document. If the intention is to search an industry that directly relates to the transaction, please see Industry.

To search an SIC Code, start typing a number or name into the text box. A list of all available SIC codes will automatically populate. To add a code(s), check the box next to the number. To remove a code(s), uncheck the box next to the number. Once all desired code(s) are selected, click Apply.

In cases where an SIC does not populate, this could mean there isn't a filing under the desired code or the SIC code has changed in the public domain. An example of this would be a company deciding to change its SIC filing. Agreements may also be filed where no SIC code was assigned but may be assigned at a later time.

The Industry filter allows for the search of license agreements by a specific or multiple industries. ktMINE analysts have reviewed each document in the database and assigned an industry tag to provide a more accurately categorized search by classifying the relevant industry to the agreement. 

We suggest using the Industry filter over the SIC code as the filing company's agreement may not accurately reflect the true context of the agreement as to which the company's core business pertains to.

Filing Date

The date the agreement was filed with the filing authority where available.

Effective Date

The Effective Date filter allows a user to search for license agreements with a specific effective date. This is the date the terms within the license agreement become material and valid. 

To use the filter with an effective date between two dates, select the month, day, and year for the start and end dates of your search criteria. 

If a search is required where the effective date greater than or equal to a certain date, choose only the Start Date field.

If a search is required where effective date less than or equal to a certain date, choose only the End Date field. 

Once the date(s) are set, click Apply.

How does ktMINE capture the Effective Date of an agreement?
-ktMINE’s analysts look for the effective date in each agreement text. If the date is not in the body of the
agreement, then we look for a date in the signature blocks. If there is a signing date(s), the latest date is used.
-If there is no signing date, we then look for the date when the agreement was written. If no date can be located
after this step, then the effective date is listed as Unknown.

What date does ktMINE assign for agreements without a specific month or day noted in the agreement?
-If an agreement contains a year only, ktMINE analysts assign an effective date of January 1. If an agreement
contains a year and a month, but no specific date, then the first day of the month is recorded as the effective date.

Examples:
− Agreement signed in 2001 = Effective date is coded as January 1, 2001
− Agreement signed in May of 1998 = Effective date is coded as May 1, 1998
− Agreement signed June 23, 2003 = Effective date is coded as June 23, 2003

Filling Date - When the agreement was filled with the regulatory body. Please note this date can be significantly later than the effective date.

The date the agreement was added to the ktMINE database.

Verbatim Territory

The Verbatim Territory filter allows a user to search for license agreements with a specified territory, matching the exactly how the territory is written on the transaction.

This filter provides flexibility when searching for lower levels of government (state/local) or point in time analysis such as a previous name of a country.

To begin, start typing a territory name into the text box. A list of matching territories will automatically populate. To add a territory, check the box next to the name. To remove a territory, uncheck the box next to the name. Once all desired territories are selected, click Apply.

Normalized Territory

The Normalized Territory filter allows a user to search for license agreements with a specified territory, matching the ISO

names, for which ktMINE analysts have combined spelling variations of the same country. Searching for regions with this filter are not recommended.

To begin, start typing a territory name into the text box. A list of matching territories will automatically populate. To add a territory, check the box next to the name. To remove a territory, uncheck the box next to the name. Once all desired territory are selected, click Apply.

How are territories assigned?

-ktMINE analyst have captured the verbatim territory noted in the agreement. If no specific territory is

noted in the license agreement, then the territory is listed as Unknown.

-NOTE: In the few instances that an agreement stated conditions such as Worldwide, except for one specific

territory, the agreement was only assigned as Worldwide in order to streamline your search process.

-ktMINE also offers an option to search by ISO standardized country codes from within the territory filter.

How do I ensure that my territory search includes all pertinent agreements?

-A search result will only include matched agreements that contain the specific area you selected in the agreement territories.


Example: If a search for agreements covering Finland is executed, results will NOT include

agreements that are summed up as Worldwide or European Union. If agreements that apply to

Finland only are needed, choose Finland. If all agreements that might cover Finland are needed, then chose Finland plus the

other geographical groups that Finland would belong to, such as Worldwide and European Union.

This is beneficial as an analyst can search all countries in a respected territory instead of the entry of each individual country.

Entity Filter

This a compound filter that allows for complex or simplistic searching based on entity information. Users can search by either one of the categories or compound them together with and operators. For example, when using the Entity filter and applying a party type of licensor and an organization of university and pressing apply would apply a filter that reads as Entity Filter: Licensor and University.

Entity Name: This allows users to search by the names of the entities involved in the transaction.

Entity Party Type: This allows users to search by the parties role within the agreement.

Entity Organization: This allows users to search by the types of organizations involved in the transaction.

Entity Country: This allows users to search by the countries that the entities involved in the transaction are located. 

Filing Company

The Filing Company filter allows a user to search for license agreements with a specific filing company. 

To begin, start typing a company name into the text box. A list of all available companies will automatically populate. To add a
company, check the box next to the name. To remove a company, uncheck the box next to the name. Once all desired companies are selected, click Apply.

How are filing companies identified?
-Filing companies are the companies that file an agreement, as well as other required filings, with the SEC and
SEDAR.

How can I find all agreements associated with a filing company?
-Since the parent company most often is the filing company for any agreement, use either of the two methods
below to find agreements filed by the parent. The bonus with searching for a filing parent is that this search will
also find agreements the parent filed for related parties, some of which may have completely different names. This
is a great way to get a more comprehensive view of the integrated IP portfolio tied to a particular organization.
ktMINE recommends either of these two options to conduct your search:
-Look for and select all variations of a company name in the Filing Company search filter.


-EXAMPLE: A Large Food Manufacturer (LFM) had agreements under four variations of the parent name. LFM
also had filed agreements for five related parties that did not use the parent name at all. Using either method
above, your search would give you all agreements associated with any of the nine unique companies that had
been filed by the parent.

Payment

Variable Payment Filter

This allows users to search by the different categorizations of payment types available.

Fixed Payment Filter

This allows users to search for Fixed Payment information disclosed within agreements.

Patent

Patent Number

The Patent Number filter allows a user to narrow their search by looking for patents based on their individual Patent Numbers. The Patent Number is assigned by the USTPO when the patent has been approved and granted. This is useful when assessing the value of a patent or patent portfolio.

When adding patent number, do not include periods, hyphens, or spaces, etc. Use the country code with the full number.

CPC Code 

This is the Cooperative Patent Classification which is a coding system for patents used by the USPTO and EPO. The filter allows users to search based on the CPC codes listed on the patents themselves that are contained within the agreement. In other words, it’s a method to search for patents contained within an agreement based on the patents classification.

IPC Code 

This is the International Patent Classification which is a coding system for international patents. The filter allows users to search based on the IPC codes listed on the international patents themselves that are contained within the agreement. In other words, it’s a method to search for international patents contained within an agreement based on the patents classification.

Tag

Tag

This allows users to search by specific information that has been tagged in an agreement to quickly indicate what data may be present within the agreement.

Miscellaneous

Related Party

The Related Party filter allows the user to narrow their results to either include or exclude related party transactions based on ktMINE's definition of a related party.

For consistency purposes, ktMINE uses the definition that either the Licensor or the Licensee must have at least 51% ownership in the other. In other words either the licensor or the licensee involved in the transaction must be a majority owner of the other party.

The focus is on the point and time of the transaction by using corporate tree data from multiple financial sites, IP data, and SEC data ktMINE has captured to map their corporate structure.

Tiered Payment

This allows users to indicate whether they are looking for payments that have a tiered structure or not. A tiered payment structure is when there are multiple rates disclosed within an agreement that are only applied when certain criteria have been met.

Agreement Type

This allows users to utilize the original agreement type filter from the Royalty Rates application in order to recreate searches from Royalty Rates into Benchmark.

Asset Purchase

Agreements involving a sale or purchase of an asset with some form of variable payment being paid in return. The agreement will cover specific assets or the entire assets of the seller. Examples include selling ownership of intellectual property by one company to another.

Cross License

Agreements involving the licensing of intangible property between parties in order to sell an existing product.

Distribution

Agreements involving the distribution of physical items. This includes supply chain and warehousing. Examples include agreements to store physical products.

Franchise

Agreements involving the licensing to operate a franchise or master franchise. Examples includes business plans, sources, contacts, prices. Also can include business operations and advertising.

Joint Development

Agreements involving the licensing of tangible and intangible property between parties in order to develop a product.

Manufacturing/Process Intangibles

Agreements involving patent license agreements dealing with the production or the creation of something such as a technology. Examples for license granting the right to use any of the following:
